Terms and Conditions

Looma Vendor Partnership Agreement

1. Purpose

This Agreement sets out the terms and conditions under which Vendors list, market, and sell their goods and/or services on Looma's platform and under which Looma provides services to facilitate such sales.

2. Vendor Onboarding & Eligibility

  1. Vendor must provide accurate and verifiable information including registration details, identification, and any licenses applicable to their business.
  2. Vendor must comply with all relevant laws and regulations of Sierra Leone for all listed items.

3. Prohibited Products and Activities

You are strictly prohibited from listing, selling, or engaging in any of the following on Looma:

  • • Illegal drugs and controlled substances.
  • • Counterfeit, fake, or stolen goods.
  • • Weapons, explosives, and hazardous materials.
  • • Harmful herbs, expired food or drugs.
  • • Endangered species.
  • • Items or services prohibited under the laws of Sierra Leone.
  • • Items or content promoting or supporting hate, violence, or illegal activity.
  • • Pornography, nudity, or sexually explicit content.
  • • Human trafficking, prostitution, impersonation scams, or sale of personal information.

Illegal activity of any kind will result in immediate account suspension and may lead to legal action.

4. Product Listings & Quality Standards

Vendors must:

  1. Upload high-quality images that accurately represent the items being sold.
  2. Provide accurate, truthful descriptions and prices.
  3. Maintain up-to-date inventory; mark out-of-stock items promptly.
  4. Not list false, deceptive, or misleading items or services.
  5. Restaurants must comply with food safety standards and ensure proper packaging for safe delivery.

5. Vendor Responsibilities

  • • Process and fulfill orders on time.
  • • Maintain high operational standards for their online store.
  • • Reimburse or refund customers for spoiled, damaged, or defective items, or for issues within the Vendor's control.
  • • Protect all customer data received; it may only be used for order fulfillment and not for marketing or resale.
  • • Not interfere with, disparage, or sabotage other vendors on Looma.

6. Payments & Commission

  1. Looma charges a 5% commission on all completed sales.
  2. Payouts to Vendors are as follows:
    • • Restaurants: Paid daily.
    • • Other Vendors/Services: Paid every Friday.
  3. Payments are reconciled through mobile money, bank transfers, or cash, as agreed with the Vendor.
  4. Looma may temporarily withhold payouts in cases of disputes, fraud, chargebacks, or suspected violations of this Agreement.

7. Returns, Refunds & Dispute Resolution

  1. Vendors must comply with Looma's return/refund policy and Sierra Leone consumer protection laws.
  2. Vendors are responsible for refunds and reimbursements for issues within their control (e.g., defective, spoiled, or misrepresented items).
  3. Looma may mediate disputes; its decision will be final and binding.

8. Compliance & Enforcement

  • • Vendors must follow all applicable laws for their products and operations.
  • • Violations of this Agreement or Looma's policies may result in account suspension or termination; serious breaches may lead to legal action.

9. Customer Data & Privacy

  • • Vendors must safeguard customer information and use it solely to process orders.
  • • Sharing, selling, or misusing customer data is strictly prohibited and will lead to immediate suspension and potential legal liability.

10. Intellectual Property

Vendors warrant that their products and listings do not infringe third-party intellectual property rights. Looma may remove infringing listings without notice.

11. Indemnification

Vendor agrees to indemnify and hold harmless Looma, its directors, and employees against any claims, damages, losses, or costs arising from:

  • • Defective or illegal products sold.
  • • Vendor's violation of law or this Agreement.
  • • Any third-party claim of IP infringement.

12. Limitation of Liability

Looma is not liable for:

  • • The legality, authenticity, or quality of Vendor products.
  • • Indirect, incidental, or consequential damages.
  • • Vendor's non-compliance or misrepresentation.

13. Term & Termination

  1. This Agreement takes effect upon Vendor's acceptance and remains in force until terminated.
  2. Either party may terminate with 30 days' notice.
  3. Looma may terminate immediately for illegal activity, fraud, or serious policy violations.

14. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Sierra Leone. Any dispute shall first be resolved through good-faith negotiation, and if unresolved, referred to arbitration under the Sierra Leone Arbitration Act.

15. Notices

All notices shall be sent to the addresses provided during onboarding, via email or registered mail.

16. Entire Agreement

This document constitutes the entire agreement between Looma and Vendor and supersedes all prior agreements or understandings.

ACKNOWLEDGMENT & ACCEPTANCE

By registering and listing products on Looma, you confirm that you have read, understood, and agree to abide by this Vendor Agreement.
